Terms & Conditions of Sale

  1. The laws of England and Wales shall apply to these terms and conditions of sale (“Contract”). Your order is subject to the following terms and conditions (unless you have made special arrangements directly with us through an agreement in writing). These terms and conditions may change from time to time without prior notice. 
  2. McGraw-Hill Education (UK) Ltd. (referred to as "MHE-UK" or "we" or "us") reserves the right to withhold further supplies in the event of any material breach of these terms and conditions or for any other reason, which, at the discretion of the company warrants such action.
  3. MHE-UK shall not be held liable in any way for loss of trade or profit occurring to you (the “customer”) in the event of delivery of the goods being frustrated or delayed for any reason, including but not limited to, by reason of fire, flood, accidents, riots, lockouts, trade disputes, acts or restraints of governments, the imposing of restrictions on exploration or from other causes not within our reasonable control.
  4. All advertised prices are subject to change without prior notice. In addition to the price of the products, MHE-UK may charge for delivery, freight and handling at rates dependent on distance and volume of products supplied. MHE-UK shall apply its usual rates for services of that kind; if there are no such usual rates then reasonable rates will be determined by MHE-UK in its sole judgment. MHE-UK’s usual rates are subject to change from time to time without notice.
  5. Claims for goods damaged in transit or short-shipment of goods must be made within ten (10) calendar days of receipt by the customer, otherwise MHE-UK will accept no liability.
  6. Returns are subject to the McGraw Hill Returns Policy, which is subject to change from time to time without notice. This can be found at https://www.mheducation.co.uk/returns-non-trade
  7. Payment terms, which shall commence from the date of the invoice, are thirty (30) calendar days unless otherwise agreed by MHE-UK in writing beforehand. The customer shall pay the invoice in full and in cleared funds within the payment terms. Payment shall be made to the bank account nominated in writing by MHE-UK. Time of payment is of the essence.
  8. No discount may be claimed in respect of early payment.
  9. All amounts due are payable in the currency you are billed in, by bank transfer to the following bank accounts. Please ensure you quote your account number and invoice(s) being paid. This will help us process your payments more efficiently. Please note that we cannot accept cheque payments.

  1. Without prejudice to MHE-UK’s rights with respect to late payments, MHE-UK may charge interest on all overdue amounts at a rate of the lesser of 2% per month or the maximum rate permitted by law, calculated from the due date and accruing monthly through the date of payment. The customer acknowledges the reasonableness of this provision and that the interest charged is not a penalty.
  2. All costs, including legal expenses, incurred in the recovery of overdue balances will be payable by the customer.
  3. Failure to settle overdue accounts may result in an interruption to supply by us.
  4. The risk of loss and/or damage (but not title) to goods supplied by us shall pass to the customer when they are delivered to the customer or the customer’s nominee and we shall not be liable for the safety of the goods thereafter. For these purposes, a third party carrier shall be deemed to be the customer’s nominee regardless of who contracted the carrier.
  5. Retention of Title/Ownership of goods: MHE-UK reserves the right to recover the debt by whatever means we see fit, including reclaiming any goods supplied for which we have not received payment. This includes automatically and immediately revoking any right to resell or otherwise use our goods in the customer’s business, without any requirement for us to give you notice, if you enter into any insolvency process. In these circumstances, we have the right to view, list and segregate our stock and we can require you to promptly deliver the goods to MHE-UK or we may recover them ourselves.
  6. MHE-UK will make every effort to ensure that the information on our website is accurate and up to date. However, we disclaim all liabilities resulting from the following:
    1. Technical problems resulting in errors (including pricing errors) or interruptions of the website, due to server upgrades or otherwise. In the unlikely event that a product's correct price is higher than that shown, we may contact you to see if you still wish to proceed with the order;
    2. Incompatibility of the website with your hardware, software or telecommunication links; and/or
    3. Failure of the website to meet your requirements.
  7. You agree that you will not (directly or indirectly):
    1. Market, promote or advertise goods sold to you by MHE-UK for sale outside the territory in which your business office as informed to us is located (“Territory”) and you will not sell in or into the United States of America, South America, Canada, Europe, Middle East countries, and such other countries as specified by us; or
    2. Deliver or arrange for delivery of such goods to any address outside the Territory; or
    3. Sell goods to any party resident outside the Territory; or
    4. Authorise or encourage a third party to undertake any of the acts described in A, B or C above; or
    5. Sell and/or deliver goods to any third party knowing that they will, are or likely to do any of the acts described at A, B or C above.
  8. A pro forma invoice does not constitute a binding offer, and is issued for pricing purposes only.
  9. We will advise at the point of invoicing of any product that MHE-UK is unable to supply. We will do our best to fulfil your order but cannot guarantee to do so. Any delivery dates are only estimates and we will have no liability in the event of any delay in delivering goods. No order is accepted by us until confirmed by us (either by supply or otherwise).
  10. When ordering goods for delivery overseas you may be subject to import duties and taxes, which are levied once the package reaches the specified destination. Any additional charges for customs clearance must be borne by you; we have no control over these charges and cannot predict what they may be. Customs policies vary widely from country to country, so you should contact your local customs office for further information. Please be aware that you must comply with all laws and regulations of the country in which you are receiving the Goods.
  11. You acknowledge that in the event of any breach by you of these terms and conditions, MHE-UK may terminate your account without obligation to you, and any monies due from you will become immediately due and payable.
  12. These terms and conditions govern all purchases of MHE-UK goods and override any conflicting terms in customer’s standard purchase terms or any customer purchase order, regardless of MHE-UK’s fulfilling any order. Any exception to these terms and conditions must be agreed to by MHE-UK in writing in advance.
